Release of Liability and Assumption of Risk

By creating a user account with The Blend by Jennifer Z LLC the individual named below (referred to as “I” or “me”) desires to participate in a yoga, Pilates, or other fitness course, activity, or training (the “Activity”) provided at the studio operated by The Blend by Jennifer Zee LLC, a California limited liability company located at 32932 Pacific Coast Highway, Suite 12, Dana Point, California 92629, (the “Company”). In consideration of the intangible value that I will gain by participating in the Activity and in recognition of the Company’s reliance hereon, I agree to all the terms and conditions set forth in this instrument (this “Release”).

I AM AWARE AND UNDERSTAND THAT THE ACTIVITY IS A POTENTIALLY DANGEROUS ACTIVITY AND INVOLVES THE RISK OF SERIOUS INJURY, DISABILITY, DEATH, AND/OR PROPERTY DAMAGE. I ACKNOWLEDGE THAT ANY INJURIES THAT I SUSTAIN MAY RESULT FROM OR BE COMPOUNDED BY THE ACTIONS, OMISSIONS, OR NEGLIGENCE OF THE COMPANY, INCLUDING NEGLIGENT EMERGENCY RESPONSE OR RESCUE OPERATIONS OF THE COMPANY. NOTWITHSTANDING THE RISK, I ACKNOWLEDGE THAT I AM KNOWINGLY AND VOLUNTARILY PARTICIPATING IN THE ACTIVITY WITH AN EXPRESS UNDERSTANDING OF THE DANGER INVOLVED AND HEREBY AGREE TO ACCEPT AND ASSUME ANY AND ALL RISKS OF INJURY, DISABILITY, DEATH, OR PROPERTY DAMAGE ARISING FROM MY PARTICIPATION IN THE ACTIVITY, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF THE COMPANY OR OTHERWISE.

I hereby expressly waive and release any and all claims which I may have, or which I may hereafter have, whether known or unknown, against the Company, and its officers, directors, managers, employees, agents, affiliates, members, successors, and assigns (collectively, “Releasees“), on account of injury, disability, death, or property damage arising out of or attributable to my participation in the Activity, whether arising out of the ordinary negligence of the Company or any Releasees or otherwise. I covenant not to make or bring any such claim against the Company or any other Releasee, and forever release and discharge the Company and all other Releasees from liability under such claims. This waiver and release does not extend to claims for gross negligence, intentional or reckless misconduct, or any other liabilities that California law does not permit to be released by agreement.

I understand that by signing this release, I am waiving any and all claims, of any kind arising out of or attributable to my participation in the Activity, including those claims that may be unknown to me, or which I do not suspect to exist at this time. WITH THE INTENTION OF WAIVING ALL UNKNOWN AND UNSUSPECTED CLAIMS, I HEREBY EXPRESSLY WAIVE ALL RIGHTS, BENEFITS, AND PROTECTIONS I MAY HAVE UNDER CALIFORNIA CIVIL CODE SECTION 1542, WHICH READS AS FOLLOWS:

A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

I hold harmless the Company and all other Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorney fees, fees, the costs of enforcing any right to indemnification under this Release, and the cost of pursuing any insurance providers, incurred by the Company or any other Releasees arising out of or resulting from any claim of a third party related to my participation in the Activity, including any claims arising out of my own negligence or the ordinary negligence of the Company.

I hereby consent to receive from any licensed hospital, physician, or medical personnel any medical treatment deemed necessary if I am injured or require medical attention during my participation in the Activity. I understand and agree that I am solely responsible for all costs related to such medical treatment and any related medical transportation and/or evacuation.

This Release constitutes the sole and entire agreement of the Company and me with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Release is held invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Release or invalidate or render unenforceable such term or provision in any other jurisdiction. This Release is binding on and shall inure to the benefit of the Company and me and their respective heirs, successors, and assigns. All matters arising out of or relating to this Release shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction). Any claim or cause of action arising under this Release may be brought only in the federal and state courts located in Orange County, California and I hereby consent to the exclusive jurisdiction of such courts.

BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ AND FULLY UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE COMPANY FOR CLAIMS, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF MY PARTICIPATION IN THE ACTIVITY

Membership Agreement

EFFECTIVE AS OF THE DATE THE MEMBER PURCHASES THE SERVICES

THESE TERMS AND CONDITIONS  ARE EXPLICITLY APPLICABLE ONLY TO ANY PARTY WHO PURCHASES A MONTHLY SUBSCRIPTION THAT AUTOMATICALLY RENEWS.

The Service is a monthly subscription that automatically renews on a continuous month-to-month basis until the subscription is cancelled by either THE BLEND or you. Recurring subscription charges will be charged to the card you provide at the time of purchase, and you authorize THE BLEND to charge the card upon each renewal. The amount of the subscription is stated in your purchase order (“Purchase Order”).

Membership Freeze: You may Freeze your unlimited membership for any reason once per year for up to three months, but no less than two weeks. Any reservations that have been made with your membership between the Freeze start date and the Freeze end date will be canceled once the membership is frozen.

We require you to email hello@theblendoc.com with the exact dates your account needs to be frozen. If we do not have a written receipt of your request to Freeze your unlimited membership, we are unable to refund or provide any compensation for the time that you were not using your membership.  In no instance shall a Freeze apply retroactively. 

Freezing your membership preserves the amount of time between the Freeze start date and the next billing period. Therefore if it is 10 days until your next billing date and your membership is frozen for a month, you will be billed 10 days after the freeze end date. Once the Freeze end date is reached, a new billing cycle will be set up automatically and any previous usages that you acquired from your membership will not be lost.

Termination Policy: Unless otherwise stated at the time of purchase, you can cancel your subscription at any time by emailing THE BLEND at hello@theblendOC.com. Please submit cancellation requests at least twenty-four (24) hours prior to the next billing cycle to avoid being billed for the following month. No refunds will be provided if you do not cancel at least twenty-four (24) hours before your billing date. Cancellations for reasons other than those stated in Section 3 will not result prorated refund of prepaid subscription charges.

You, the buyer, may cancel this Agreement within 90 days after the date of this agreement. To cancel this agreement, mail or deliver a signed and dated notice, or send an email to hello@theblendOC.com which states that you, the Customer, are canceling this agreement, or words of similar effect. The notice shall be sent to The Blend by Jennifer Zee LLC at 32932 Pacific Coast Highway, Suite 12, Dana Point, California 92629.You may also cancel this agreement by contacting THE BLEND by Jennifer Zee LLC at 1 866-212-0798. We will refund the purchase price within ten days after we receive your notice of cancellation.

By purchasing the Service and agreeing to the Terms and Conditions required in order to create an account with The Blend you hereby agree to, and to be bound by, the Terms as set out in this Agreement. 

  1. Applicability.
    1. These terms and conditions for services (these “Terms“) are the only terms that govern the provision of services by The Blend by Jennifer Zee LLC, a California limited liability company located at 32932 Pacific Coast Highway, Suite 12, Dana Point, California 92629 (“THE BLEND“) to you (“Customer“).
    2. The Purchase Order, Release of Liability and Assumption of Risk agreement, and these Terms (collectively, this “Agreement“) comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. In the event of any conflict between these Terms and the Purchase Order, these Terms shall govern, unless the Purchase Order expressly states that the terms and conditions of the Purchase Order shall control.
    3. These Terms prevail over any of Customer’s general terms and conditions regardless of whether or when Customer has submitted its request for proposal, order, or such terms. Provision of services to Customer does not constitute acceptance of any of Customer’s terms and conditions and does not serve to modify or amend these Terms.
  2. Arbitration and Class Arbitration Waiver
    1. By accepting the Terms, you and THE BLEND agree to submit any and all Disputes (as defined below) to binding arbitration pursuant to the Federal Arbitration Act (Title 9 of the United States Code), which shall govern the interpretation and enforcement of this arbitration agreement (“Arbitration Agreement“). Arbitration shall be before JAMS, www.jamsadr.com. Arbitration will be before a single arbitrator. The JAMS Comprehensive Arbitration Rules & Procedures and the JAMS Recommended Arbitration Discovery Protocols For Domestic, Commercial Cases will apply. If required for the enforceability of this Arbitration Agreement under the Federal Arbitration Act, THE BLEND will pay all arbitrator’s costs and expenses. If not, those costs will be paid as specified in the above-referenced rules. The arbitration will be in Orange County, California.

WE EACH AGREE THAT, EXCEPT AS PROVIDED IN THE DEFINITION OF DISPUTES BELOW, ANY AND ALL DISPUTES WHICH ARISE AFTER YOU ENTER INTO THESE TERMS AND CONDITIONS WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION RATHER THAN IN COURT BY A JUDGE OR JURY, IN ACCORDANCE WITH THIS ARBITRATION AGREEMENT.

  1. The parties agree to arbitrate solely on an individual basis, and that this agreement does not permit class arbitration or any claims brought as a plaintiff or class member in any class or representative arbitration proceeding (“Class Arbitration Waiver”). The arbitral tribunal may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. In the event the prohibition on class arbitration is deemed invalid or unenforceable, then the entire agreement to arbitrate will be null and void. Customer shall have the right to opt out of this agreement to arbitrate by providing written notice of its intention to do so to THE BLEND within 60 days of the execution of the contract.
  2. Except as described below, the term “Dispute” in this Arbitration Agreement and the Class Action Waiver means any dispute, claim, or controversy between you and THE BLEND regarding any aspect of your relationship with THE BLEND, whether based in contract, statute, regulation, ordinance, tort (including, but not limited to, fraud, misrepresentation, fraudulent inducement, negligence, gross negligence or reckless behavior), or any other legal, statutory or equitable theory, and includes the validity, enforceability or scope of the Terms except for the scope, enforceability and interpretation of this Arbitration Agreement and Class Action Waiver. Dispute SHALL NOT include personal injury claims or claims for lost, stolen, or damaged property. Dispute also SHALL NOT include; (1) claims that all or part of the Class Arbitration Waiver is invalid, unenforceable, unconscionable, void or voidable; and (2) any claim for public injunctive relief, i.e., injunctive relief that has the primary purpose and effect of prohibiting alleged unlawful acts that threaten future injury to the general public. Such claims may be determined only by a court of competent jurisdiction and not by an arbitrator.
    1. Services, Facilities, and Hours. THE BLEND shall provide the services to Customer as described in the Purchase Order (the “Services“) in accordance with these Terms.
    2. Disability, Death, or Relocation. You may cancel the Agreement at any time if you become disabled or die or if you move more than 25 miles from the facility. 
      1. In order to cancel on the basis of disability, the disability must be of a kind that somehow affects your capacity to use or enjoy the facilities. A physician must verify the condition. In the event of your death, your representative may cancel the contract. Upon cancellation for either reason, no further payments are required, and a prorated portion of any amount prepaid will be refunded to you or your representative. You or your representative must request the refund.
      2. If you move more than 25 miles from the studio and are unable to transfer the contract to a comparable facility, no further payments are required, and a prorated portion of any amount prepaid will be refunded to you.
    3. Customer’s Acts or Omissions. If THE BLEND’s performance of its obligations under this Agreement is prevented or delayed by any act or omission of Customer, THE BLEND shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges, or losses sustained or incurred by Customer, in each case, to the extent arising directly or indirectly from such prevention or delay.
    4. Taxes. Customer shall be responsible for all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by any federal, state, or local governmental entity on any amounts payable by Customer hereunder.
    5. Intellectual Property. The trademarks and trade dress of THE BLEND are proprietary to THE BLEND and may not be used by you for any reasons other than as expressly permitted by these terms.
    6. Release of Liability and Assumption of Risk. As a condition of the Agreement, Customer agrees to sign the separate Release of Liability and Assumption of Risk agreement.
    7. Disclaimer of Warranties. THE BLEND MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE SERVICES, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; OR (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.
  • Limitation of Liability.  IN NO EVENT SHALL THE BLEND BE LIABLE TO CUSTOMER OR TO ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE BLEND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.
  1. Waiver. No waiver by THE BLEND of any of the provisions of this Agreement is effective unless explicitly set forth in writing and signed by THE BLEND. No failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement operates or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
  2. Force Majeure. No party shall be liable or responsible to the other party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for any obligations of Customer to make payments to THE BLEND hereunder), when and to the extent such failure or delay is caused by or results from acts beyond the impacted party’s (“Impacted Party”) reasonable control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”): (a) acts of God; (b) flood, fire, earthquake, epidemics, or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or action; (e)  embargoes or blockades in effect on or after the date of this Agreement; (f) national or regional emergency; (g) strikes, labor stoppages or slowdowns or other industrial disturbances; and (h) other similar events beyond the reasonable control of the Impacted Party. The Impacted Party shall give notice within ten (10) days of the Force Majeure Event to the other party, stating the period of time the occurrence is expected to continue. The Impacted Party shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized. The Impacted Party shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause. In the event that the Impacted Party’s failure or delay remains uncured for a period of twenty (20) consecutive days following written notice given by it under this Section 17, the other party may thereafter terminate this Agreement.
  3. Assignment. Customer shall not assign any of its rights or delegate any of its obligations under this Agreement without the prior written consent of THE BLEND. Any purported assignment or delegation in violation of this Section is null and void. No assignment or delegation relieves Customer of any of its obligations under this Agreement.
  4. Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
  5. No Third-Party Beneficiaries. This Agreement is for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of these Terms.
  6. Governing Law. All matters arising out of or relating to this Agreement are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California.
  7. Severability. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
  8. Survival. Provisions of these Terms, which by their nature should apply beyond their terms, will remain in force after any termination or expiration of this Agreement including, but not limited to, the following provisions: Confidentiality, Governing Law, Submission to Jurisdiction, and Survival.
  9. Amendment and Modification. This Agreement may only be amended or modified in a writing which specifically states that it amends this Agreement and is signed by an authorized representative of each party.

BY AGREEING TO THE TERMS AND CONDITIONS REQUIRED TO ESTABLISH AN ACCOUNT AT THE BLEND, THE CUSTOMER HEREBY AGREES AND ACCEPTS THESE TERMS.
